1. Introduction

Welcome to Content Gypsy LLC ("Company", "we", "our", "us"). These Terms and Conditions ("Terms", "Agreement") govern your use of our software product ("Software"), which is a white-labeled version of Go High Level, provided through our website contentgypsy.com ("Site").

By accessing or using our Software, you ("User", "you") agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must not use the Software.

2. Definitions

Software: The white-labeled version of Go High Level provided by the Company.User: The individual or entity using the Software.

Company: Content Gypsy LLC, the provider of the Software.

Confidential Information: All information disclosed by one party to the other that is marked as confidential or that reasonably should be understood to be confidential.

3. Grant of License

Subject to the terms and conditions of this Agreement, Company hereby grants User a non-exclusive, non-transferable, limited license to access and use the Software solely for User's internal business purposes during the term of this Agreement.

4. Term and Termination

4.1

Term:

This Agreement shall commence on the date User first accesses the Software and shall continue until terminated.

4.2

Termination:

Either party may terminate this Agreement at any time with or without cause by providing written notice to the other party. Company may also terminate this Agreement immediately if User breaches any term of this Agreement.

4.3

Effect of Termination:

Upon termination, User shall immediately cease all use of the Software and delete all copies of the Software in User’s possession.

5. Fees and Payment Terms

5.1

Fees:

User agrees to pay the fees specified on the Site for the use of the Software.

5.2

Payment Terms:

Fees are due and payable as specified on the Site. User agrees to provide accurate and complete billing information.

5.3

Late Payments:

Any late payments shall be subject to a late fee of $20 or the maximum amount permitted by law, whichever is less.

6. Support and Maintenance

Company shall provide support and maintenance services as described on the Site. Company may update the Software from time to time in its sole discretion.

7. Intellectual Property Rights

7.1

Ownership:

Company retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

7.2

Restrictions:

User shall not (i) copy, modify, or create derivative works of the Software; (ii) reverse engineer, decompile, or disassemble the Software; (iii) remove any proprietary notices from the Software; or (iv) sublicense, lease, rent, or otherwise transfer rights to the Software.

8. Confidentiality

8.1

Confidential Information:

Each party agrees to protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

8.2

Exclusions:

Confidential Information does not include information that (i) is or becomes publicly known through no breach of this Agreement; (ii) is received from a third party without breach of any obligation of confidentiality; (iii) is independently developed by the receiving party; or (iv) is required to be disclosed by law.

9. Data Protection and Privacy

User agrees to Company's collection, use, and sharing of User's data as described in Company's Privacy Policy, which is incorporated by reference into these Terms.

10. Warranties and Disclaimers

10.1

Warranty Disclaimer:

The Software is provided "as is" and "as available" without warranty of any kind. Company disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

11.1

Limitation of Liability:

To the maximum extent permitted by law, in no event shall Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) User's use of or inability to use the Software; (ii) any unauthorized access to or use of Company's servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Software; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Software by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Software.

12. Governing Law and Dispute Resolution

12.1

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of Texas, without regard to its conflict of law principles.

12.2

Dispute Resolution:

Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of American Arbitration & Mediation Organization (AAMO). The arbitration shall be conducted in Texas.

13. Miscellaneous

13.1

Assignment:

User may not assign this Agreement or any of its rights or obligations hereunder without the prior written consent of Company.

13.2

Entire Agreement:

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

13.3

Amendments:

Company may modify this Agreement at any time by posting the modified terms on the Site. User’s continued use of the Software after such posting constitutes User’s agreement to be bound by the modified terms.

13.4

Severability:

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.5

Waiver:

The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision.
